To provide the terms and conditions under which services rendered by Save Sierra Leone Foundation will be accessed by you.
Definitions and Interpretation
In this Terms of Service, Save Sierra Leone Foundation (the “Foundation”, “us”, “we”, and “our”), is the service provider.
You and/or your agents, employs, or assigns (the “You”, “user”, “you” or “your”) is the one who will be receiving the service under the following terms and conditions.
The web pages available at www.savesierraleonefoundation.org and all sub-domains thereof referred to as (the “Website” “website” “Site” “site”) are owned and operated by Save Sierra Leone Foundation.
All of our services (the “Services”, “services”) are governed by the Terms of Service (the “Terms”, the “Terms of Service”, or the “Agreement”).
THIS IS A LEGALLY BINDING AGREEMENT. IF YOU DO NOT UNDERSTAND THIS AGREEMENT, OR DO NOT AGREE TO BE BOUND BY IT, YOU MUST IMMEDIATELY REFRAIN FROM SUBMITTING THE SERVICE APPLICATION FORM TO US.
YOU CERTIFY TO THE FOUNDATION THAT, IF YOU ARE AN INDIVIDUAL (I.E., NOT AN ENTITY), THAT YOU ARE AT LEAST 18 YEARS OF AGE AND THAT YOU ARE LEGALLY ABLE TO ENTER INTO THIS AGREEMENT.
You certify to the Foundation that, if you are an entity, you are legally able to enter into a contract on behalf of such entity and that you are legally permitted to use the services.
REGISTRATION: You must register to request our service. When you finish the registration process, you officially become a candidate for consideration for our services. You are required to provide the Foundation with accurate, complete, and updated registration information. Failure to do so shall constitute a breach of the Terms of Service, which may result in immediate termination of your candidacy.
After we have reviewed your application, a notice of our decision (i.e. whether we are willing to provide or not willing to provide the service you are requesting) will be sent to the email address you provided. This may take up to 10 days but usually happens within 7 days. If you do not receive an email after this time period, contact us through this website. If we decide to provide the requested service to you, you will be provided with additional procedural information in the email. We may for instance inform you that we need to contact you by telephone to further discuss your request as well as explain our pricing and operational procedures and whether or not we will need to send you our Letter of Engagement (LOE)
CONSENT TO RECEIVE EMAIL: By registering to use any of our services, you hereby consent to receive periodic newsletters and other types of email communications from us, including customer service issues, new product offers and other matters. You may choose to opt out of certain newsletter and announcement email correspondence; however, the Foundation reserves the right to email you at any time regarding issues related to your candidacy and your use of the service.
FEES:While most of our services are free, some of our services require payment of fees. You shall pay all applicable fees, as described on the site in connection with such services selected by you or as agreed to in our Letter of Engagement (LOE) with you. The Foundation reserves the right to require both an engagement fee and a performance based fee in certain situations. If you agree to our LOE, you will be bound by the terms listed in the LOE, which may include both an engagement fee and a performance based fee.
PAYMENT:Fees may be based on a one-time payment, periodic payments or a combination of both. You may pay the fees by cash, check, bank transfer or with a valid credit card that is under your own name or that you are authorized to use for such purpose. Recurring service fees paid by credit card will automatically renew, unless you affirmatively cancel your service prior to the beginning of the next applicable period for which the service corresponds. For each month that your service is active, you acknowledge and agree that the Foundation is authorized to charge the same credit card for the service fee. You agree to promptly notify the Foundation of any changes to your credit card while any service remains outstanding.
PROMOTIONS AND TRIAL SERVICES.
From time to time, we may offer free trial services or other promotions. If you accept a free trial service or a promotion, we will begin to bill your credit card at the conclusion of the free trial or according to the terms and conditions outlined in the promotion. If you do not wish to be charged, you should cancel your service(s) prior to the end of the trial period or in accordance with the applicable promotion rules.
ACCESS TO THE SERVICES. Subject to these Terms of Service, the Foundation may offer to provide certain Services as are selected by you through the process provided on the Site, solely for your personal use, and not for the use or benefit of any third party. Services shall include, but not be limited to, any services the Foundation performs for you, as well as the offering of any content on the Site. The Foundation may change, suspend or discontinue the services at any time, including the availability of any feature or content. The Foundation may also impose limits on certain services or restrict your access to parts or all of the services without notice or liability. The Terms of Service are void where prohibited by law, and the rights to access the services are revoked in such jurisdictions.
We may, from time to time, without notice, update or revise the Terms of Service. If we update or revise the Terms of Service, we will notify you either by email to your most recently-provided e-mail address, or by posting the updated or revised Terms of Service on the site. Your use of our service following any such update or revision constitutes your agreement to follow and be bound by the Terms of Service as updated or revised. You can view the most current Terms of Service at any time by clicking on the Terms of Service link at the bottom of the site’s home page. It is your responsibility to review the Terms of Service periodically.The Foundation shall not be liable to you or any third party should the Foundation exercise its right to modify, suspend, limit or discontinue any feature of the service.
You may not sub-license, assign, or transfer our service to anyone else without prior written consent from the Foundation.
The Foundation may freely assign the Terms of Service.
Relationship of Parties.
No agency, partnership, joint venture, or employment is created as a result of the Terms of Service and you do not have any authority of any kind to bind the Foundation in any respect whatsoever.
TERMINATION AND REFUND POLICY. You may terminate your use of our services at any time by emailing us at email@example.com. The Foundation may also terminate or suspend any and all services immediately, without prior notice or liability, if you breach any of the terms or conditions of the Terms of Service. You acknowledge that the Foundation is not required to provide you notice before it so terminates your service(s). Any fees paid or accrued hereunder are non-refundable. In all situations the Foundation reserves the right to change its price list and to institute new charges at any time, upon thirty (30) days prior notice to you, which may be sent by email or posted on the website. Use of the services by you following such notification constitutes your acceptance of any new or increased charges or other changes. If any such new or increased charges or other changes are unacceptable to you, you may cancel your services at any time by sending an email to us at firstname.lastname@example.org. However, the Foundation is not obligated to refund any fees that have accrued to your account(s) before the cancellation. Additionally, the Foundation will not prorate fees for any service.
EFFECT OF TERMINATION.
Upon termination, your right to use our services as provided in the Terms of Service will immediately cease. All provisions of the Terms of Service, which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability and miscellaneous.
WARRANTY DISCLAIMER. Our services are provided “as is” without warranty of any kind, either expressed or implied. In no event shall the Foundation be liable for any damages including, but not limited to, direct, indirect, special, incidental or consequential damages or other losses arising out of the use of or inability to use our services. The Foundation expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of title, merchantability including, but not limited to merchantability of service programs, and fitness for a particular purpose. Some states or jurisdictions do not allow the exclusion of certain warranties. Nothing in this section should be construed as excluding or limiting any warranty beyond what is permissible under applicable law.
SEVERABILITY AND WAIVER. If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and shall be limited or eliminated to the minimum extent necessary so that the Terms of Service shall otherwise remain in full force and effect and enforceable. The remaining portions will remain in full force and effect. A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof.
The failure of any party to enforce any provision of this Terms of Service shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Terms of Service.
The Foundation shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond the Foundation’s reasonable control, including, without limitation, mechanical, electronic or communications failure
USE OF THE WEBSITE. By posting a message, uploading a file, or engaging in any other form of communication via the site, you are granting the Foundation a perpetual, royalty-free and irrevocable right and license to use, reproduce, modify, adapt, publish, translate, distribute, transmit, publicly display, publicly perform, sublicense, create derivative works from, transfer, and sell any such plan, opportunity, messages, files or communications. You additionally agree to abide by the following rules in connection with your use of the contact us area of the Site:
- Not to defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others.
- Not to impersonate any person or entity, including, for example, an entity’s employee or officer, or falsely state or otherwise misrepresent your affiliation with a person or entity.
- Not to post messages that contain material that is inappropriate, profane, defamatory, infringing, obscene, or indecent. This includes any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party. You agree to give attribution to others when you quote or paraphrase materials owned by others.
- Not to upload files, or cause others to upload files, that contain viruses, corrupted files, or any other similar software or programs that may adversely affect the operation of another's computer.
- Not to conduct contests, distribute chain letters, or conduct “pyramid schemes” or “multi-level marketing schemes.”
- Not to violate any applicable local, state, national or international law.
COPYRIGHT POLICY. All information available through and from the site is the property of the Foundation and is protected by copyright and other intellectual property laws. All rights reserved. You may not reproduce, retransmit, disseminate, sell, publish, broadcast, or circulate any information you obtain from the Site without the express written consent of the Foundation. You are entitled to use the information from the site only for your personal, non-commercial use.
COUNTERPARTS.All parties hereby agree to be legally bound by this Terms of Service, which may be executed
(including by facsimile or electronic mail) by one or more of the parties on any number of separate counterparts. All of
such counterparts taken together shall be deemed to constitute one and the same instrument, and (if by facsimile or
electronic mail) each such facsimile or electronic mail shall have the same force and effect as if an original.
Governing Law and Jurisdiction. The Terms of Service shall be governed by and construed in accordance with the laws of the State of Maryland. You agree to submit to the non-exclusive jurisdiction of any United States Federal or Maryland State Court sitting in Howard County, Maryland in any action or proceeding arising out of or relating to the use of our services.
If any provision of the Terms of Service are held by a court of
competent jurisdiction to be contrary to law, then such provision(s)
shall be construed, as nearly as possible, to reflect the intentions of
the parties with the other provisions remaining in full force and effect.
Both parties agree that the Terms of Service are the complete and exclusive statement of the mutual understanding of the parties and supersede and cancel all previous written and oral agreements, communications and other understandings relating to the subject matter of the Terms of Service. If there is any conflict between the Terms of Service and any additional terms, conditions, and rules posted by the Foundation on the Site, the Foundation shall resolve the conflict in its sole discretion.
By submitting an application for our services, you agree to be bound by this Terms of Service.
